Terms of Service

1. Acceptance of Terms
By accessing or using Margn, creating an account, joining a beta, or using any Margn website, application, feature, or service, you agree to these Terms of Service and the Privacy Policy. If you use Margn on behalf of a business, you represent that you have authority to bind that business to these terms.
If you do not agree to these terms, you may not access or use Margn.
2. Description of Service
Margn is a documentation tool designed to help small residential trade contractors capture, organize, and preserve job records, photos, notes, timestamps, location information, customer approvals, change orders, and other evidence related to contractor work.
Margn may include mobile applications, web dashboards, evidence vault features, customer approval workflows, AI-assisted documentation features, SMS messaging, payment-related workflows, and related tools as the product develops.
3. Account Eligibility and Responsibilities
Margn is intended for business use by contractors and authorized business personnel who are at least 18 years old. You are responsible for providing accurate account information, maintaining the confidentiality of login credentials, managing who has access to your account, and all activity that occurs under your account.
You agree to promptly notify Margn of suspected unauthorized access, security incidents, or misuse of your account.
4. Contractor Data Ownership
As between you and Margn, your business owns the customer and job data you enter into Margn, including customer contact information, job records, photos, notes, approvals, change orders, documents, and evidence vault content.
You grant Margn a limited license to host, process, transmit, back up, secure, display, and otherwise use that data as necessary to provide, maintain, improve, and protect the service and to comply with law.
You are responsible for ensuring that you have the rights, permissions, customer consents, and legal authority necessary to collect, upload, store, and send job-site information through Margn.
5. Acceptable Use
You agree not to use Margn to:
- Violate any law, regulation, contract, privacy right, or intellectual property right.
- Upload unlawful, defamatory, harassing, abusive, fraudulent, or misleading content.
- Capture photos, audio, location data, or personal information without required permission or legal authority.
- Impersonate another person or business, misrepresent approvals, fabricate evidence, or alter records in a deceptive way.
- Send spam, unauthorized SMS messages, or communications that violate carrier rules or applicable messaging laws.
- Interfere with, disrupt, reverse engineer, scrape, overload, or attempt unauthorized access to Margn or its systems.
- Use Margn for high-risk, emergency, life-safety, or regulated legal recordkeeping uses where failure could cause serious harm.
6. Subscriptions, Billing, and Beta Access
Margn may offer free trials, beta access, founding beta plans, subscriptions, promotional pricing, usage-based features, or paid add-ons. Pricing, plan limits, billing periods, included features, and renewal terms will be disclosed when a paid plan is offered.
Founding beta pricing may include early-access terms or discounted structures for initial users. Any such pricing is subject to the terms presented at signup or checkout and may differ from future public pricing.
If you subscribe to a paid plan, you authorize Margn and its payment processor to charge applicable fees, taxes, and renewals using the payment method provided. Except where required by law or expressly stated in writing, fees are non-refundable once billed.
Margn may change pricing, plan features, or billing terms with notice. Continued use after changes take effect constitutes acceptance of the updated billing terms.
7. Customer Communications and SMS
Margn may allow contractors to send documentation, approval requests, reminders, or other communications to customers by email, SMS, or similar channels. You are responsible for the content of those communications and for obtaining any required customer consent before sending messages.
Margn may suspend messaging features if communications appear abusive, unlawful, deceptive, spam-like, or likely to harm deliverability or violate carrier rules.
8. AI-Assisted Features
Margn may provide AI-assisted features to help summarize notes, draft descriptions, organize records, or suggest documentation language. AI outputs may be inaccurate, incomplete, or unsuitable for a particular use. You are responsible for reviewing and approving any AI-generated content before relying on it or sending it to customers.
9. No Legal Advice or Guaranteed Outcomes
Margn is a documentation tool. Margn is not a law firm, does not provide legal advice, and does not create an attorney-client relationship. Documentation, evidence vault records, change order workflows, approval records, and AI-assisted features are provided for business documentation purposes only.
Margn does not guarantee that any record, photo, approval, or evidence captured through the service will be accepted by a court, arbitrator, customer, payment provider, insurance company, or other third party. Legal outcomes depend on facts, law, contracts, jurisdiction, record quality, and other factors outside Margn's control. You should consult qualified legal counsel for legal advice.
10. Service Availability and Changes
Margn is currently in early development and may change frequently. Features may be added, modified, limited, suspended, or discontinued at any time. Margn does not guarantee uninterrupted availability, error-free operation, or permanent availability of any particular beta feature.
Margn may perform maintenance, update infrastructure, fix security issues, or limit access when needed to protect the service or users.
11. Third-Party Services
Margn may integrate with or rely on third-party services such as Supabase, Stripe, Twilio, Google Maps, OpenAI, Anthropic, hosting providers, analytics providers, and other operational vendors. Third-party services may be governed by their own terms and privacy policies. Margn is not responsible for third-party services outside its control.
12. Disclaimers
Margn is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Margn disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
Margn does not warrant that the service will meet your requirements, prevent disputes, guarantee payment, preserve every record without interruption, or produce legally sufficient evidence in every situation.
13. Limitation of Liability
To the fullest extent permitted by law, Margn and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost data, loss of goodwill, payment disputes, project losses, legal costs, or substitute services, arising from or related to the service or these terms.
To the fullest extent permitted by law, Margn's total liability for any claim arising from or related to the service or these terms will not exceed the amount you paid to Margn for the service during the three months before the event giving rise to the claim, or one hundred dollars if you have not paid Margn.
14. Indemnification
You agree to defend, indemnify, and hold harmless Margn and its owners, officers, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of Margn, your customer or job data, your communications with customers, your violation of these terms, or your violation of law or third-party rights.
15. Termination
You may stop using Margn at any time. Margn may suspend or terminate access if you violate these terms, create security or legal risk, fail to pay amounts due, misuse the service, or if continued access would be harmful to Margn, users, customers, or third parties.
After termination, Margn may retain certain information as described in the Privacy Policy, including evidence vault records, billing records, logs, backups, and information needed for legal, security, compliance, or dispute-resolution purposes.
16. Changes to Terms
Margn may update these terms from time to time. Updates will be posted on this page with a revised effective date. Material changes may also be communicated through the service or by email when appropriate. Continued use after updated terms become effective means you accept the updated terms.
17. Governing Law
These terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. The parties consent to jurisdiction and venue in the state and federal courts located in Georgia for disputes not subject to another agreed dispute process.
