Terms of Service

Disclaimer: These are draft Terms of Service provided for informational purposes during the Founding Member beta. They should be reviewed by legal counsel before a wider public launch.
1. Acceptance of Terms
By accessing or using the Margn platform (the "Service"), provided by Margn LLC ("Margn", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.
2. Description of Service
Margn is a purchase protection platform that analyzes receipts, tracks return windows, warranty periods, and price drop opportunities. Margn operates in an advisory capacity. Margn does not automatically change, cancel, negotiate, or claim anything on your behalf. You must approve and initiate every action.
3. No Guarantee of Savings
Margn may identify potential savings or protection opportunities. Eligibility and approval for refunds, price matches, or warranty claims are always subject to the specific retailer's or provider's policies, timing, and product availability. Margn does not guarantee any refund, price adjustment, return approval, or warranty claim.
4. User Responsibilities and Acceptable Use
You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate and complete information when uploading receipts or interacting with the Service.
You agree not to use the Service for any illegal or unauthorized purpose. Specifically, you agree not to:
- Commit fraud or engage in any illegal activity.
- Upload documents or receipts that you do not own or do not have permission to use.
- Engage in abusive scraping, data extraction, or reverse engineering of the Service.
- Attempt to access other users' data or interfere with the proper working of the Service.
- Transmit any worms, viruses, or any code of a destructive nature.
5. Uploaded Content
You retain ownership of any receipts, documents, or content you upload to the Service. By uploading content, you grant Margn a limited, non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing and improving the Service.
6. Subscription and Billing
Certain features of Margn are available on a subscription basis. By selecting a paid subscription plan, you agree to pay Margn the subscription fees indicated for that service.
- Billing: We use Stripe to process payments. You authorize recurring charges to your provided payment method.
- Renewal: Paid plans renew automatically at the end of each billing cycle until canceled.
- Cancellation: You can manage or cancel your subscription at any time through the "Manage Billing" section in your account settings (via the Stripe Customer Portal) or by contacting support. Your cancellation will take effect at the end of the current paid term.
- Pricing Changes: Prices for our services may change, but we will provide notice before any changes take effect. Taxes may apply.
- Refunds: Subscription fees are generally non-refundable. Refunds are not guaranteed and are handled on a case-by-case basis unless a specific policy exists.
7. Free and Beta Access
If Margn offers free or beta access to certain features, please note that these features may change, be limited, or be discontinued at any time. Beta access can be modified or revoked at our discretion.
8. AI and Accuracy Disclaimer
Margn may use automated analysis, OCR, and AI tools to extract data and generate recommendations. These outputs can be incomplete or incorrect. You should always verify the information before making financial, legal, warranty, return, or claim decisions.
9. Intellectual Property
The Service and its original content, features, software, UI, logos, and functionality are and will remain the exclusive property of Margn LLC and its licensors. You own your uploaded content. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Margn LLC.
10. Third-Party Services
Margn integrates with third-party services (such as Stripe for payments, Supabase for database/auth, Mailgun for email, and external search/AI providers). Your use of the Service may also involve interactions with third-party retailers and manufacturers. These third parties are not controlled by Margn, and we are not responsible for their actions, policies, or decisions.
11. Limitation of Liability
In no event shall Margn LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
12. Indemnification
You agree to defend, indemnify, and hold harmless Margn LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Service, or a breach of these Terms.
13. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms, engage in abuse, nonpayment, or for security or legal reasons. Upon termination, your right to use the Service will immediately cease.
14. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.
15. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
